Welcome to SpendFlow. These Terms of Service ("Terms") govern your use of the SpendFlow website and bill pay migration assistant service (collectively, the "Service") operated by SpendFlow ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or using SpendFlow, you represent that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into these Terms.
  • You are a resident of the United States.
  • You will use the Service only for lawful purposes.

2. Description of Service

SpendFlow is a bill pay migration assistant that helps you transition recurring payments when switching banks. The Service:

  • Connects to your existing bank account via Plaid to analyze transaction history.
  • Identifies recurring payments, subscriptions, and automatic debits.
  • Provides a migration checklist with instructions for updating each payment.
  • Tracks your migration progress and may provide rewards from participating banks.

Important: SpendFlow does not transfer funds, make payments, or modify your bank accounts in any way. You are solely responsible for updating your payment methods with merchants and service providers.

3. Account Registration

To use SpendFlow, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activities under your account.
  • Notify us immediately of any unauthorized access to your account.
  • Not share your account credentials with others.

4. Bank Connection & Third-Party Services

SpendFlow uses Plaid Inc. to connect to your bank account. By using SpendFlow, you also agree to Plaid's End User Privacy Policy.

You authorize SpendFlow and Plaid to access your transaction history for the purpose of identifying recurring payments. This authorization does not grant access to transfer funds or modify your accounts.

5. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Access accounts that do not belong to you or that you are not authorized to access.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Use the Service for any fraudulent or deceptive purpose.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Automate access to the Service (bots, scrapers, etc.) without our permission.

6. Disclaimers

AS-IS SERVICE: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

NO FINANCIAL ADVICE: SpendFlow is not a financial advisor, bank, or payment processor. The Service provides informational tools only. Any decisions regarding your finances are solely your responsibility.

ACCURACY: While we strive to accurately identify recurring payments, we do not guarantee that all payments will be detected or that the information provided will be error-free. You should verify your migration checklist against your bank statements.

THIRD-PARTY SERVICES: We are not responsible for the availability, accuracy, or reliability of third-party services including Plaid or any merchant websites linked from the Service.

7. Limitation of Liability

To the maximum extent permitted by law, SpendFlow and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, or business opportunities.
  • Missed payments, late fees, or service interruptions resulting from incomplete migration.
  • Any damages arising from your use of or inability to use the Service.

In no event shall our total liability exceed the amount you paid to use the Service in the twelve (12) months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless SpendFlow and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SpendFlow and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

10. Termination

By You: You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

By Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Upon termination, provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
